These terms apply to all use of meritgoods’s website, mobile application, curbside pickup, home delivery, and all associated services.

Acceptance of Terms

By accessing or using any of meritgoods’s services, you agree to be bound by these Terms of Service and all applicable federal, state, and local laws and regulations. If you do not agree to these terms in full, you are prohibited from using any of meritgoods’s offerings. Users accessing the service on behalf of a business or organization represent that they are authorized to bind that entity to these terms.

Use of the Website

You agree to use meritgoods’s services only for lawful, personal, non-commercial purposes unless explicitly authorized in writing by meritgoods. You must not:

• Violate any applicable law or regulation, including but not limited to food safety, age restriction, and consumer protection rules
• Transmit unauthorized advertising, promotional material, or spam via our platform
• Attempt to gain unauthorized access to our systems, user accounts, or inventory databases
• Impersonate any person or entity, including meritgoods staff or other users
• Use automated tools, scrapers, or bots to extract product pricing, inventory, or user data from our platform
• Place fraudulent, excessive, or malicious orders, including orders for perishable goods placed with no intent to receive them
• Resell meritgoods products for commercial gain without our express written permission

Product Information and Pricing

meritgoods makes every effort to ensure that product descriptions, pricing, nutritional information, allergen warnings, and availability details are accurate and up to date. In the event of an error in product information, pricing, or availability, we reserve the right to correct the error and cancel any orders placed based on the incorrect information at no cost to you. For fresh, perishable, or weighted goods (such as produce, meat, and bakery items), slight variations in weight, size, or ripeness from listed specifications may occur. Allergen and nutritional information is provided for reference only; meritgoods cannot guarantee that products are free from cross-contamination with common allergens during processing or packaging. Product availability may vary by delivery zone, pickup location, and selected time slot.

Orders and Payment

All orders are subject to product availability and acceptance by meritgoods. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear fraudulent, violate these terms, or cannot be fulfilled due to stock shortages. Payment must be received in full before order dispatch or pickup, unless otherwise agreed in writing. Minimum order values and delivery fees may apply based on your selected delivery zone and time slot. For age-restricted products (including alcohol, tobacco, and vaping products where legally permitted), you must be of the legal age to purchase such items in your jurisdiction, and valid government-issued ID matching the name of the receiving party will be required at delivery or pickup. If an item in your order is out of stock, we will notify you prior to dispatch and may offer a suitable substitute, or issue a refund for the unavailable item, unless you have opted out of substitutions at checkout.

Intellectual Property

All content on meritgoods’s platforms — including text, images, logos, software, private label product packaging, and the "meritgoods" name and branding — is the exclusive property of meritgoods and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any meritgoods content without our express written permission. User-generated content (including product reviews, photos, and comments) submitted to our platforms may be used by meritgoods for marketing, promotional, or operational purposes, subject to our Privacy Policy.

User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify meritgoods immediately of any unauthorized use of your account or any other security breach. You are also responsible for providing accurate, up-to-date contact, delivery, and payment information when placing orders, and for ensuring that any dietary restrictions, allergy information, or eligibility requirements you submit are truthful and complete. If you place an order on behalf of a third party, you are solely responsible for ensuring that third party meets all legal eligibility requirements for purchased products, including age restrictions for restricted goods.

Limitation of Liability

To the fullest extent permitted by law, meritgoods shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website, products, or services, including but not limited to damages for foodborne illness, lost perishable goods, or delivery delays. Our total aggregate liability to you for any claim arising from a single transaction shall not exceed the total amount you paid for the products or services in question. meritgoods is not liable for failures or delays in service resulting from circumstances outside our reasonable control, including but not limited to supply chain disruptions, severe weather, public health emergencies, or third-party carrier delays.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of meritgoods’s services shall first be submitted to meritgoods’s customer support team for informal resolution. If the dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration administered by a recognized arbitration provider in New York, NY, in accordance with the provider’s commercial arbitration rules. The award of the arbitrator shall be final and binding on the parties, and may be entered in any court of competent jurisdiction.

Changes to These Terms

meritgoods reserves the right to update, modify, or replace any part of these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide at least 30 days’ advance notice via email to the address associated with your account, or via a prominent notice on our website. Your continued use of our services after the effective date of any revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using meritgoods’s services prior to the effective date of the changes.
